TERMS OF SERVICE

1. Acceptance and Agreement

By indicating your agreement to these Kahmino Terms of Use (the “Terms”), you agree to be

bound by the Terms and the Kahmino Privacy Policy in connection with your use of the

https://www.kahmino.com/ website (the “Site”) and the software and services provided to you by

Kahmino through the Site (collectively, the “Service”). If you disagree with any part of the Terms,

then you do not have permission to access the Service and will immediately discontinue your

use. Agencies that use the Services are subject to a separate agreement with Kahmino, and

nothing here in is intended to modify or amend such agreements.

By using the Service, you are agreeing that if there’s a disagreement or legal issue between you

and Kahmino, it will be resolved through binding arbitration, not in court. You also waive your

right to be part of a class action lawsuit or to have a jury trial. Please make sure to read the

“Arbitration” section of these Terms for more details.

Kahmino, Inc. is referred to in the Terms as “Kahmino”, “us”, “we”, or “our”.

The terms “you”, “your”, “user” and similar terms refer to you as a user of the Services.

2. Amendment and Modification of Terms

These Terms may be amended or modified at any time by Kahmino. If a material change is

made to the Terms, Kahmino will provide notice to all users, such as through email or notice on

the Site, and such amended Terms will apply to all use after such notice is given. If the Terms

are amended or modified, your continued use of the Service after the notice constitutes your

acceptance of the revised Terms. If you do not agree with amendments or modifications to these

Terms, your sole and exclusive remedy is to terminate your use of the Service and close your

account.

3. Overview

Kahmino is providing the Service to assist home buyers to identify neighborhoods and locations

in a city that most closely align with the user’s interests and preferences. Our Services are an

informational tool for home buyers. We are not a real estate agency or real estate agents. We

are not recommending that you move to any specific neighborhood or purchase a specific

house. We are only providing additional information to help you make this decision. All

information provided through our Services is for your general knowledge and is not meant to be

professional advice. If you need specific advice concerning your home purchase, you should

consult with a licensed real estate agent. We do not control or endorse any specific real estate

agent or agency. You acknowledge and agree that we are not liable for the actions or

representations of any agent or agency.

4. User Account

4.1 Account Creation. In order to use certain features of the Services, you must register for

an account (“Account”) and provide certain information about yourself as prompted by the

account registration form. In order to create an Account, you must either (i) provide Kahmino

with a valid email address or (ii) sign in through a third-party account, such as your Google

account. You represent and warrant that: (a) all required registration information you submit is

truthful and accurate; (b) you will maintain the accuracy of such information. You may delete

your Account at any time, for any reason, by following the instructions on the Site. Kahmino

may suspend or terminate your Account in accordance with Section 9.

4.2 Account Responsibilities. You are responsible for maintaining the confidentiality of your

Account login information and are fully responsible for all activities that occur under your

Account. You agree to immediately notify Kahmino of any unauthorized use, or suspected

unauthorized use of your Account or any other breach of security. Kahmino cannot and will not

be liable for any loss or damage arising from your failure to comply with the above

requirements.

4.3 Electronic Communications over the Internet. The transmission of data or information

(including communications by e-mail) over the Internet or other publicly accessible networks

may not always be secure, and is subject to possible loss, interception, or alteration while in

transit. Accordingly, the Kahmino does not assume any liability, without limitation, for any loss or

damage you may experience or costs you may incur as a result of any transmissions over the

Internet or other publicly accessible networks, including but not limited to transmissions

involving the Services or e-mail with the Kahmino containing your personal information. While

Kahmino will take commercially reasonable efforts to safeguard the privacy of the information

you provide to Kahmino and will treat such information in accordance with Kahmino's Privacy

Policy, in no event will the information you provide to Kahmino be deemed to be confidential,

create any fiduciary obligations for Kahmino, or result in any liability for Kahmino.

4.4 Age Restrictions. You must be at least 13 years old and reside in the United States to

create an Account. The Service is not intended or directed to children under the age of 13. By

creating an Account, logging in and using the Service, you represent warrant that you are at

least 13 years old and reside in the United States.

5. SMS/Text Services.

5.1 The Services may include certain features that are accessible via SMS, MMS or text

messaging. To the extent you elect to use such Services, your wireless service carrier’s

standard charges, data rates and other fees may apply. If you elect to use these features of the

Service, you expressly agree that we may communicate with you about the Services by SMS,

MMS, text message or other electronic means to your mobile device. You can reply STOP to

such text messages to cancel; except for automated text messages related to the security of

your Account. Message frequency will vary. Message and normal data rates may apply. We will

comply with any additional requirements that may apply applicable laws before communicating

with you in this manner.

6. Fees

6.1 Service Fees. Certain portions of the Services may only be accessed upon the payment

of a fee. The amount of this fee will be indicated on the Site at the time the Service is ordered.

All fees paid are non-refundable and non-cancellable. All payments are processed through a

third-party payment services provider. Your relationship with Company is separate from your

relationship with the third-party payment services providers.

6.2 Waiver of Fees. If mutually agreed by Company and you, the Service Fees may be

waived if you agree to be contacted by one or more designated real estate agents. By agreeing

to this waiver, you consent to be contacted by the designated real estate agent through the

contact information you have provided. If you elect to work with such agent, that relationship is

between you and the agent. You acknowledge and agree that Kahmino will have no liability for

the services provided by the agent or your selection of the agent.

6.3 Taxes. You agree to pay any sales, value-added or other similar taxes imposed by

applicable law for the right to access and use the Services. Additionally, if any amounts owed to

Company are charged back or contested by you, you agree that Company may invoice you for

the same amount and you will pay such invoice within thirty (30) days.

7. Privacy

7.1 Privacy Notice. Any information submitted through the Services is subject to our Privacy

Policy, the terms of which are incorporated herein. Please review our Privacy Policy to

understand our practices. The date of any changes to our Privacy Policy will be noted at the

bottom of the policy. We may use your personal information as described in the Privacy Policy.

8. License

8.1 We grant you a limited, nonexclusive, nontransferable license, subject to these

Terms, to access and use the Service solely for your personal, non-commercial use. Any other

use of the Service is expressly prohibited. You agree you will not copy, transmit, distribute, sell,

license, reverse engineer, modify, publish, or participate in the transfer or sale of, create

derivative works from, or in any other way exploit any of the Service, site content, features,

trademarks, or functionality of the Service, in whole or in part without the prior written consent of

Kahmino.

8.2 Prohibited Use. In connection with your use of the Service, and your interactions

with other users, you agree and represent you will not engage in any unlawful or illegal activity.

You further agree not to:

● impersonate any person or entity or falsely state or otherwise misrepresent your

affiliation with a person or entity;

● upload, download, post, email or otherwise transmit any unsolicited or

unauthorized advertising, promotional materials, junk mail, spam, chain letters, or

any other form of solicitation;

● upload, download, post, email or otherwise transmit any material that contains

software viruses or any other computer code, files or programs designed to

interrupt, destroy or limit the functionality of any computer software or hardware

or telecommunications equipment;

● upload, download, post, email or otherwise transmit false or misleading

information;

● disrupt or interfere with the security of, or otherwise abuse, the Site, or any

Services, system resources, accounts, servers, or networks connected to or

accessible through the Site or affiliated or linked websites.

● access, tamper with or use non-public areas of the Services. Unauthorized

individuals attempting to access these areas of the Services may be subject to

prosecution and termination of their account;

● disrupt or interfere with any other user’s enjoyment of the Services or affiliated or

linked websites, including without limitation, through any trolling, belligerent or

antagonistic behavior towards other users;

● collect or store personal information about any other user of the Services.

● use any content or other information provided on or through the Services for any

commercial purpose including by selling, offering for sale, distributing, reposting

or licensing anyone else’s content or information that you may obtain through use

of the Services.

● use any page-scraper, spider, robot or other automatic device or methodology to

access, acquire, copy or monitor any information or content provided on or

through the Services.

● copy, republish, mirror, transmit, perform, sell or distribute any part of the

Services for any commercial or other purpose or other than as expressly

permitted herein.

We reserve the right at all times to monitor, review, retain and/or disclose any information as

necessary to satisfy any applicable law, regulation, sanctions programs, legal process or

governmental request. We reserve the right to cancel and/or suspend your Account and/or

access to the Service, immediately and without notice if we determine, in our sole discretion,

that your Account is associated with unlawful or illegal activity or otherwise violates these Terms.

8.3 Intellectual Property. The Service and its original content, features and

functionality are and will remain the exclusive property of Kahmino along with any

improvements, modifications or derivative works of the Service. The Service is protected by

9.1 Termination by Kahmino. We may terminate or suspend your Account and bar access to

the Service immediately, without prior notice or liability, under our sole discretion, for any reason

whatsoever and without limitation, including but not limited to a breach of the Terms. Without

limiting the generality of the foregoing, Kahmino may suspend, restrict, or terminate your access

to the Service, and/or deactivate or cancel your account if: (i) we are so required by a facially

valid subpoena, court order, or binding order of a government authority; (ii) we reasonably

suspect you of using your account in connection with unlawful or illegal activity; (iii) you breach

these Terms. If Kahmino suspends or closes your Account or terminates your use of the

Service for any reason, we will provide you with notice of our actions unless a court order or

other legal process prohibits us from providing you with such notice.

9.2 Termination by You. If you wish to terminate your Account, you may simply discontinue

using the Service.

9.3 Effects of Termination. All provisions of the Terms which by their nature should survive

termination shall survive termination, including, without limitation, ownership provisions,

warranty disclaimers, indemnity and limitations of liability.

10. Modification of Service

Kahmino reserves the right to modify or cancel the Service and related functionality at any time

and in its sole discretion. If you are unhappy with such modifications, your sole remedy is to

terminate use of the Service.

11. Indemnification

You agree to defend, indemnify and hold harmless Kahmino and its licensee and licensors, and

their employees, contractors, agents, officers and directors, and assigns, from and against any

and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including

but not limited to attorney's fees), resulting from or arising out of a) the use and access of the

Service, by you or any person using your account and password; b) your violation of any

third-party’s rights; or c) your breach of these Terms.

12. Limitation of Liability

IN NO EVENT SHALL KAHMINO, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS,

AGENTS, SUPPLIERS, OR AFFILIATES, OR ASSIGNS BE LIABLE FOR ANY INDIRECT,

INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING

WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER

INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY

TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD

PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV)

UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR

CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING

NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN

INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET

FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. KAHMINO’S

MAXIMUM AGGREGATE LIABILITY TO ANY USER UNDER OR IN CONNECTION WITH THE

SERVICE, WHETHER ARISING IN OR FOR BREACH OF CONTRACT, TORT (INCLUDING

NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, SHALL NOT EXCEED

THE TOTAL AMOUNT OF SERVICE FEES YOU ACTUALLY PAID TO KAHMINO THROUGH

THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING ANY CLAIM GIVING RISE

TO LIABILITY BY KAHMINO, OR $100, WHICHEVER IS GREATER.

13. Disclaimer

YOUR USE OF THE SITE AND SERVICES PROVIDED THEREIN IS AT YOUR SOLE RISK

UNLESS EXPLICITLY STATED OTHERWISE. UNLESS EXPLICITLY STATED OTHERWISE,

THE SITE AND SERVICES AND ALL CONTENT IS ARE PROVIDED ON AN “AS IS,” “AS

AVAILABLE” AND “WITH ALL FAULTS” BASIS. UNLESS EXPLICITLY STATED OTHERWISE

OR REQUIRED UNDER APPLICABLE LAW, KAHMINO DISCLAIMS ALL EXPRESS OR

IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES OF ANY KIND,

INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF

ACCURACY, MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR

PURPOSE OR NON-INFRINGEMENT. KAHMINO MAKES NO REPRESENTATIONS,

WARRANTIES, CONDITIONS OR GUARANTEES AS TO THE USEFULNESS, QUALITY,

SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF THE SITE OR THE SERVICES

PROVIDED THEREIN. KAHMINO MAKES NO WARRANTY OR REPRESENTATION THAT

THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE

OF ANY VIRUSES, TROJAN HORSES OR WORMS.

YOU ASSUME ALL RISKS CONCERNING THE SUITABILITY AND ACCURACY OF THE

INFORMATION AND CONTENT WITHIN THE SITE AND SERVICES. THE SITE AND THE

SERVICES MAY CONTAIN TECHNICAL INACCURACIES, TYPOGRAPHICAL ERRORS OR

OMISSIONS. KAHMINO ASSUMES NO RESPONSIBILITY FOR AND DISCLAIMS ALL

LIABILITY FOR ANY SUCH INACCURACIES, ERRORS OR OMISSIONS. NOTHING ON THE

SITE OR SERVICES SHALL BE CONSTRUED AS PROVIDING CONSULT OR ADVICE TO

YOU AND IS PROVIDED ONLY FOR EDUCATIONAL AND INFORMATIONAL PURPOSES.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU ACKNOWLEDGE AND

AGREE THAT KAHMINO IS NOT A REAL ESTATE AGENT OR AGENCY AND THAT THE

CONTENT AND INFORMATION PROVIDED AS PART OF THE SERVICES ARE FOR

INFORMATIONAL PURPOSES ONLY. ANY DECISION AS TO WHAT AGENT YOU WORK

WITH, WHERE TO LIVE, AND WHICH NEIGHBORHOOD IS APPROPRIATE FOR YOU IS

YOURS ALONE AND SHOULD BE MADE IN CONSULTATION WITH A LICENSED AGENT.

14. Third Party Links

14.1 Links. The Services may provide access to, or third parties may provide, links to

other websites or resources. Because Company has no control of such sites and resources, you

acknowledge and agree that Company is not responsible for the availability of such sites or

resources, and does not endorse and is not responsible or liable for any content, advertising,

products or other materials on or available from such sites or resources. You further

acknowledge and agree that Company shall not be responsible or liable, directly or indirectly, for

any damage or loss caused or alleged to be caused by or in connection with use of or reliance

on any such content, goods or services available on or through any such site or resource.

Without limiting the generality of the foregoing, any relationship you form with an agent or

agency is solely between you and the agent/agency. Company will not be liable for any aspect

of that relationship.

15. Miscellaneous

15.1 Relationship of the Parties. Kahmino is an independent contractor for all purposes.

Nothing in this Agreement shall be deemed or is intended to be deemed, nor shall it cause, you

and Kahmino to be treated as partners, joint ventures, or otherwise as joint associates for profit.

15.2 Entire Agreement. These Terms and the Kahmino Privacy Policy comprise the entire

understanding and agreement between you and Kahmino as to the subject matter hereof, and

supersedes any and all prior discussions, agreements and understandings of any kind

(including without limitation any prior versions of these Terms), and every nature between and

among you and Kahmino.

15.3 Assignment. You may not assign any rights and/or licenses granted under these

Terms. We reserve the right to assign our rights without restriction, including without limitation to

any Kahmino affiliates or subsidiaries, or to any successor in interest of any business

associated with the Service. Any attempted transfer or assignment in violation hereof shall be

null and void. Subject to the foregoing, these Terms will bind and inure to the benefit of the

parties, their successors and permitted assigns.

15.4 Force Majeure. We shall not be liable for delays, failure in performance or

interruption of service which result directly or indirectly from any cause or condition beyond our

reasonable control, including but not limited to, significant market volatility, any delay or failure

due to any act of God, act of civil or military authorities, act of terrorists, civil disturbance, war,

strike or other labor dispute, fire, interruption in telecommunications or Internet services or

network provider services, failure of equipment and/or software, other catastrophe or any other

occurrence which is beyond our reasonable control and shall not affect the validity and

enforceability of any remaining provisions.

15.5 Electronic Delivery of Communications. You agree and consent to receive

electronically all communications, agreements, documents, notices and disclosures (collectively,

"Communications") that we provide in connection with your account(s) and your use of the

Service.

15.6 Governing Law. These Terms shall be governed and construed in accordance with

the laws of North Carolina, United States, without regard to its conflict of law provisions.

15.7 Arbitration. ANY DISPUTE ARISING AROUND THE SERVICE OR THESE TERMS

WILL BE RESOLVED BY BINDING ARBITRATION IN ACCORDANCE WITH THE

COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION

AND YOU HEREBY AGREE TO CONSENT TO SUCH ARBITRATION. ANY SUCH

CONTROVERSY OR CLAIM SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS AND

SHALL NOT BE CONSOLIDATED IN ANY ARBITRATION WITH ANY CLAIM OR

CONTROVERSY OF ANY OTHER PARTY. THE ARBITRATION SHALL BE CONDUCTED IN

WAKE COUNTY, NORTH CAROLINA , AND JUDGMENT ON THE ARBITRATION AWARD

MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF. EITHER PARTY

MAY SEEK ANY INTERIM OR PRELIMINARY RELIEF FROM A COURT OF COMPETENT

JURISDICTION NECESSARY TO PROTECT THE RIGHTS OR THE PROPERTY OF YOU

OR KAHMINO (OR ITS REPRESENTATIVES), PENDING THE COMPLETION OF

ARBITRATION.

15.8 Waiver and Severability. Our failure to enforce any right or provision of these Terms

will not be considered a waiver of those rights. If any provision of these Terms is held to be

invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
